The proposed merger between AlliedSignal Inc. and Honeywell Inc., if consummated, will create a "900-lb. gorilla" among avionics suppliers, offering flight management and navigation systems, flat-panel displays, and safety systems including TCAS, windshear detection and EGPWS while boosting the surviving company's presence as a one-stop shop for APUs, small jet engines, aircraft landing systems, control units, sensors and other components.

Under terms of the agreement announced June 7, Honeywell shareholders will receive 1.875 shares of AS common stock for each share tendered. That puts a value on the all-stock transaction of more than $14 billion, according to the companies.
